1) Acceptance of Terms
By accessing or using our website, pages, forms, or social channels that link to these Terms (collectively, the Website), you agree to be bound by these Terms of Service (Terms). If you do not agree, please do not use the Website.
2) Who we are & what these Terms cover
Prosper Talent Management Pty Ltd (Prosper, we, us) provides creator-management and related advisory services (e.g., strategy, brand deal facilitation, inbox/DM support, operations).
These Terms govern use of the Website only. Any commercial engagement with us (e.g., creator management, brand collaborations, paid services, revenue share) is governed by a separate written agreement signed by the parties (e.g., Creator Management Agreement, Insertion Order, Statement of Work). If there is a conflict, the signed agreement prevails.
3) Eligibility & acceptable use
Age: You must be 18 years or older to use the Website or submit an application.
Lawful use: You will use the Website only in accordance with applicable laws of Australia (including the Competition and Consumer Act 2010 (Cth), Spam Act 2003 (Cth), and Privacy Act 1988 (Cth)) and any local laws where you access the site.
Prohibited conduct: You must not:
Attempt to gain unauthorised access to our systems or data;
Use bots/scrapers to harvest data without our written consent;
Upload, post, or transmit unlawful, defamatory, misleading, infringing, hateful, sexually exploitative/illegal, or otherwise objectionable content;

You warrant that all information you provide to us (e.g., form submissions, applications, emails) is accurate, current, and complete. You are responsible for keeping your details up to date.
You grant us a non-exclusive, royalty-free licence to use information you submit to reasonably operate, review, and respond to your enquiry or application, and to provide our services. You retain ownership of your content.

By using the Website, you consent to our privacy practices and to receiving administrative and service-related communications. Marketing emails will include a clear opt-out.
6) No employment, agency or guarantees
Not an employer: Unless expressly stated in a signed agreement, Prosper is not your employer and does not offer employment through the Website.
No guarantees: We do not promise any particular income, results, bookings, or brand deals. Any examples, case studies, or testimonials are illustrative only and not guarantees of future performance.
7) Intellectual property
All Website content (text, graphics, logos, layouts, software, and design) is owned by us or our licensors and is protected by Australian and international IP laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
You may link to our public pages in a fair and legal manner that does not misrepresent an affiliation or endorsement.

10) Australian Consumer Law (ACL)
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified.
Where it is lawful to do so, our liability for breach of a non-excludable guarantee is limited to re-supplying the services or paying the cost of having the services supplied again.
11) Disclaimers & limitation of liability
To the maximum extent permitted by law:
We disclaim all warranties not expressly stated in these Terms.
We are not liable for any indirect, incidental, special, exemplary, or consequential loss; loss of profits, revenue, goodwill, or data; or business interruption arising from or related to your use (or inability to use) the Website.
Subject to the ACL, our total aggregate liability in connection with the Website will not exceed AUD $100.
12) Indemnity
You agree to indemnify and hold harmless Prosper and its officers, employees, and contractors from and against any claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website; or (c) your violation of any law or third-party rights.
13) Termination or suspension
We may suspend or terminate your access to the Website at any time (with or without notice) if we reasonably believe you have breached these Terms or risk harm to us or others. Termination does not limit any rights or remedies available to us at law or in equity.
14) International users & cross-border processing
We operate from Australia but may use service providers (e.g., cloud, email, analytics) located overseas. By using the Website, you consent to the transfer and processing of your information outside Australia in accordance with our Privacy Policy.
15) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above indicates when the latest changes took effect. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
16) Governing law & venue
These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia for all disputes arising out of or relating to these Terms or the Website.
17) General
Entire agreement: These Terms (and any documents expressly referred to in them) form the entire agreement between you and us regarding Website use.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
No waiver: A failure to enforce a provision is not a waiver of that provision.
Assignment: You may not assign or transfer your rights or obligations without our prior written consent. We may assign our rights or obligations at any time.
